These Terms of Service ("Terms") govern your access to and use of ReelCanister at reelcanister.com (the "Service"), operated by Couchlight LLC ("Couchlight," "we," "us," or "our"). ReelCanister is an online marketplace where approved creators sell bundles of DRM-free downloadable video files, and buyers purchase and download those bundles. By creating an account or using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.
1. Overview
ReelCanister is a marketplace operated by Couchlight LLC, a limited liability company organized under the laws of the State of California, United States. The Service:
- Hosts public storefronts where approved creators list bundles for sale;
- Lets buyers purchase bundles and download the DRM-free files they contain;
- Facilitates payment from buyers to creators, retaining a platform fee, using our third-party payment processor.
Couchlight operates the marketplace and facilitates transactions. Creators — not Couchlight — are the source of the content sold. Couchlight does not create, own, endorse, or independently verify the content offered by creators, except as described in these Terms.
2. Eligibility and Accounts
You must be at least 13 years old (16 in the EEA) to create an account, and old enough to form a binding contract in your jurisdiction to make a purchase. You are responsible for the accuracy of your account information and for keeping your credentials secure. You are responsible for all activity under your account, and you may never use another person's account without permission. Notify us at [email protected] immediately of any unauthorized use or security breach.
Couchlight is not liable for losses arising from unauthorized use of your account, and you may be liable for losses incurred by Couchlight or others resulting from such unauthorized use.
You may sign up with an email and password or with "Sign in with Google." You may close your account at any time; certain records (e.g., transaction history) are retained as described in our Privacy Policy.
3. Buyers
3.1 What You Are Purchasing
When you purchase a bundle, you receive a non-exclusive, non-transferable license to download and personally enjoy the video files in that bundle. Files are delivered DRM-free. Unless a creator expressly grants broader rights in writing, your license is for personal, non-commercial use only. You may not resell, redistribute, publicly perform, sublicense, or upload the files elsewhere.
Purchased bundles appear in your library, from which you can download the files. Downloads are delivered via temporary, access-controlled links; you may re-download files in bundles you own while your account and the bundle remain active. We do not guarantee perpetual availability of any particular file (for example, if a creator removes content or an account is terminated), so you are encouraged to keep your own copies of files you download.
3.2 Payment
Payments are processed by our third-party payment processor (Stripe). By completing a purchase you also agree to Stripe's terms and privacy policy. Prices are shown in the listed currency and are charged at checkout. Couchlight does not store your full card details.
Your purchase is complete, and access is granted to your library, only when the payment processor confirms the payment to us. Access is granted by our server-side confirmation of that payment event, not by the post-checkout redirect page.
3.3 Chargebacks
If you initiate a chargeback or payment dispute without first contacting us, we reserve the right to revoke access to the affected bundle(s), suspend your ability to make future purchases, and pursue lawful recovery of the disputed amount. Please contact [email protected] first — most issues can be resolved quickly.
4. Creators (Sellers)
4.1 Access
Creator accounts are invite-only and manually approved. Being a buyer does not entitle you to a creator account. We may decline, suspend, or revoke creator access at our discretion, including for violations of these Terms.
4.2 Your Content and the License You Grant
You retain ownership of the videos, thumbnails, and other materials you upload ("Creator Content"). To operate the marketplace, you grant Couchlight a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, and transmit your Creator Content solely for the purposes of listing it, delivering it to buyers who purchase it, and operating and promoting the Service. This license ends within a commercially reasonable time after you delete the content or your account, except for content already delivered to buyers and for copies retained in routine backups for a reasonable period (which we will not display or distribute).
You separately authorize Couchlight to grant buyers the personal-use license described in Section 3.1 for bundles they purchase from you. You may set broader license terms for your buyers, provided they are disclosed on the bundle listing.
4.3 Your Representations
You represent and warrant that you own or have all necessary rights, licenses, consents, and permissions to your Creator Content and to sell it; that it does not infringe any third party's intellectual property, privacy, or publicity rights; and that it complies with all applicable laws and with Section 7 (Acceptable Use). You are solely responsible for your Creator Content.
4.4 Payouts and Fees
Creators are paid through Stripe Connect. You must complete Stripe's onboarding and identity/tax verification before you can publish paid bundles; Stripe collects and holds your identity, bank, and tax information directly. On each sale, Couchlight retains a platform fee (a percentage of the sale price, disclosed to you), and the remainder is routed to your connected account by Stripe, subject to Stripe's payout schedule and terms. You are responsible for any taxes on your earnings.
4.5 Suspension and Removal
We may remove Creator Content or suspend a creator account if we reasonably believe the content or conduct violates these Terms, infringes third-party rights, or exposes Couchlight or its users to legal risk, including in response to a valid takedown notice (Section 8).
5. Platform Fee
Couchlight charges a percentage-based platform fee on each sale, calculated at checkout and deducted from the creator's proceeds. The current fee is disclosed to creators in the dashboard and may change prospectively on notice. Buyers pay only the listed bundle price; the fee is borne by the creator.
6. Couchlight's Intellectual Property
The ReelCanister platform itself — including its name, logos, and other trademarks and service marks, and its user interface, design, text, graphics, and software — is owned by Couchlight LLC or its licensors and is protected by intellectual property laws. These Terms grant you no right to use Couchlight's trademarks or other branding. You may not copy, modify, reverse-engineer, decompile, or create derivative works of the platform or its software, except as expressly permitted or as required by applicable law. This Section does not apply to Creator Content, which is owned by creators as described in Section 4.2, or to the files you license by purchasing a bundle.
7. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law or regulation;
- Upload, sell, or download content you do not have the right to use, or that infringes any third party's intellectual property, privacy, or publicity rights;
- Upload or distribute unlawful content, including child sexual abuse material, content that is defamatory or harassing, or content that violates any person's rights;
- Circumvent, disable, or interfere with access controls, download limits, link expiry, or other security mechanisms;
- Resell, redistribute, or publicly perform files beyond the license granted to you;
- Attempt to gain unauthorized access to our servers, storage, or databases, or to other users' accounts;
- Use any automated system (robots, spiders, scrapers) that sends more requests to our servers than a human could reasonably produce with a normal browser, or harvest personally identifiable information from the Service;
- Transmit malware, spam, or other harmful content;
- Scrape, overload, or impair the Service or its infrastructure.
Because files are sold DRM-free, we rely on these rules, creator curation, temporary download links, and download logging rather than technical copy-restriction. Violation may result in immediate suspension or termination without refund and, for creators, forfeiture of pending proceeds attributable to infringing sales.
8. Copyright and Takedown (DMCA)
Couchlight respects intellectual property rights and responds to valid notices of claimed infringement. If you believe content on ReelCanister infringes your copyright, send a written notice to [email protected] with the subject "DMCA Notice" including: (1) your physical or electronic signature; (2) identification of the copyrighted work; (3) identification of the allegedly infringing material and its location on the Service; (4) your contact information; (5) a statement that you have a good-faith belief the use is not authorized; and (6) a statement, under penalty of perjury, that your notice is accurate and you are authorized to act.
We will remove or disable access to infringing material and will terminate, in appropriate circumstances, the accounts of repeat infringers. If your content was removed and you believe that was a mistake or misidentification, you may submit a counter-notice to the same address including: your signature; identification of the removed content and where it appeared; a statement, under penalty of perjury, of your good-faith belief that it was removed by mistake or misidentification; your name, address, and telephone number; a statement that you consent to the jurisdiction of the U.S. federal court for the district in which you reside (or, if outside the United States, the U.S. District Court for the Central District of California); and a statement that you will accept service of process from the party who filed the notice.
9. Refund Policy
9.1 General Policy
Bundles are digital goods delivered as immediate, DRM-free downloads. Once you have downloaded any file from a bundle, that purchase is generally non-refundable, because the goods cannot be returned. Before requesting a refund, please contact [email protected] with your order details.
At our discretion, and coordinating with the selling creator where appropriate, we may issue a refund where a bundle is materially not as described, files are corrupt or undownloadable and we cannot resolve the issue, or a purchase was clearly made in error and not yet downloaded. Refunds are processed through the original payment processor and may take 5–10 business days to appear. When a purchase is refunded, access to that bundle is revoked from your library.
9.2 EU and UK Consumers — Right of Withdrawal
Under the EU Consumer Rights Directive (2011/83/EU) and the UK Consumer Contracts Regulations, consumers ordinarily have a 14-day right of withdrawal from distance purchases of digital content. Because ReelCanister delivers digital content immediately, this 14-day withdrawal right is waived at checkout: by completing your purchase you expressly request immediate delivery and acknowledge that you lose the statutory right of withdrawal once downloading has begun. If you were not presented with this waiver at checkout, contact [email protected] and we will honor your withdrawal right.
10. Disclaimer of Warranties
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY PARTICULAR FILE WILL REMAIN AVAILABLE. COUCHLIGHT DOES NOT CREATE OR CONTROL CREATOR CONTENT AND MAKES NO WARRANTY REGARDING ANY CREATOR OR THEIR CONTENT.
Nothing in this section limits statutory rights that cannot be excluded under applicable consumer protection law, including EU and UK consumer law.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COUCHLIGHT'S TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID THROUGH THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) FIFTY DOLLARS (USD $50.00). IN NO EVENT SHALL COUCHLIGHT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL.
YOU SPECIFICALLY ACKNOWLEDGE THAT COUCHLIGHT IS NOT LIABLE FOR CREATOR CONTENT OR FOR THE CONDUCT OF ANY CREATOR, BUYER, OR OTHER THIRD PARTY, AND THAT THE RISK OF HARM FROM THE FOREGOING RESTS WITH YOU. Disputes over the content, quality, or rights of a bundle are primarily between the buyer and the selling creator. Nothing in this section limits liability that cannot be excluded under applicable law.
12. Indemnification
You agree to defend, indemnify, and hold harmless Couchlight LLC and its members, officers, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (i) your use of and access to the Service; (ii) your violation of these Terms; (iii) your violation of any law or of any third-party right, including intellectual property, privacy, or publicity rights; and, for creators, (iv) your Creator Content or any claim that it infringes or violates the rights of a third party. This obligation survives termination of your account and these Terms.
13. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or to protect the Service or its users. You may stop using the Service and close your account at any time. Sections that by their nature should survive termination (including Sections 4.2, 6, 7, 10, 11, 12, 14, and 16) survive.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-law principles. For EU and UK consumers, the mandatory consumer protection laws of your country of residence also apply and are not displaced by this choice of law.
Any dispute that cannot be resolved informally is subject to the exclusive jurisdiction of the courts located in Orange County, California, except where applicable law requires otherwise. 15. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the "Last updated" date above and, where feasible, provide reasonable notice of material changes. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
16. General
- Entire agreement. These Terms, together with the Privacy Policy (incorporated by reference), are the entire agreement between you and Couchlight regarding the Service and supersede any prior agreements on that subject.
- Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
- No waiver. Our failure to enforce any provision is not a waiver of that or any other provision.
- Assignment. You may not assign or transfer these Terms or your account; Couchlight may assign them without restriction, including in connection with a merger, acquisition, or sale of assets.
- Third-party links. The Service may link to third-party sites we do not control. We are not responsible for their content, policies, or practices, and your use of them is at your own risk.
- Time to bring claims. To the extent permitted by law, any claim arising out of or related to the Service must be brought within one (1) year after the claim arises, or it is permanently barred.
- No third-party beneficiaries. These Terms confer no rights or benefits on any third party except as expressly stated.
